INCS User Service Agreement

Welcome to INCS products and services!
Note: Before using INCS Services, you should carefully read and abide by the INCS Service Agreement (hereinafter referred to as the "Agreement"). Please be sure to carefully read and fully understand the contents of the terms, especially the terms of exemption or limitation of liability, dispute resolution and law application. The terms of exemption or limitation of liability will be displayed in bold font, you should read them carefully.
When you agree to this Agreement and complete the account registration or the establishment of INCS enterprise organization, or you actually use the Service in a manner permitted by INCS, it means that you have fully read, understood and accepted the entire content of this Agreement, this Agreement shall become legally binding, and you shall not use the reason of not reading the content of this Agreement or not getting the answer to your inquiry from INCS, etc. Claim that this Agreement is invalid or request the cancellation of this Agreement.
一、Define the Terms
1. INCS enterprise organization user refers to the administrator authorized by the enterprise organization to create INCS account and enterprise organization structure, invite organization members to register INCS account as end users of the enterprise organization or configure enterprise accounts for end users, and after the INCS enterprise organization is created, The administrator authorized by the enterprise organization to configure, open, manage and use INCS office applications for online communication and collaboration.
2. INCS enterprise organization Certification service refers to the service for INCS enterprise organization users who meet certain conditions to submit relevant materials and information to apply for INCS enterprise organization certification. INCS shall, according to the type of enterprise organization applied by the applicant and the materials and information submitted, conduct the audit by itself or entrust a third-party audit institution, and determine the certification result and certification information of the enterprise organization according to the audit.
3. INCS certified enterprise organization users refer to INCS enterprise organization users who are screened and verified by INCS itself or by a third-party audit agency on the materials and information submitted by the enterprise organization users and their administrators or legal representatives and comply with the INCS certification review process. For enterprises that have completed INCS certification, INCS will determine the name of the user's authentication account, clarify the identity of the subject and open relevant services according to the qualification materials submitted by the user. If there is any doubt, INCS has the right to require the certified enterprise organization to conduct annual audit certification or take the initiative to require re-certification. If the user authentication information of the certified enterprise organization is changed, it shall apply to INCS for the change certification.
4. INCS Enterprise organization administrator refers to an enterprise organization member who is authorized or designated by INCS enterprise organization users and has the permission to manage INCS enterprise organization users. Management rights include but are not limited to managing the enterprise address book and organization members, setting sub-administrators, opening and managing third-party applications on behalf of the enterprise organization, confirming and signing corresponding INCS online agreements, deregister the enterprise organization, etc. An enterprise organization administrator is referred to as "administrator".
5、Enterprise organization End user refers to an individual user created by the administrator and agreed by the individual to join the INCS enterprise organization, referred to as "end user".
6、 Enterprise organization control data refers to the information and data related to enterprise users submitted or generated by enterprise organization users and end users in the process of using INCS services, including information submitted or required by enterprise users and their administrators, and information assigned by enterprise users to end users. As well as information submitted by end users to enterprise users in order to complete work needs and meet the daily management needs of the enterprise. For specific provisions on enterprise organization control data, please refer to the relevant statements in the INCS privacy policy
二、. Contracting subject
1、This Agreement is an agreement jointly concluded in Singapore between enterprise users (including administrators and end users) and INCS service providers regarding users' use of the software and INCS related services.
2、 INCS Enterprise Users and their administrators and end users are collectively referred to as "Users" or "You".
3、INCS service providers include INCS and other associated companies providing INCS services, including service providers providing cloud computing and storage services. The above INCS service providers are collectively referred to as "INCS" or "We".
三、 Content and effect of the Agreement
1、 This Agreement includes the body of this Agreement and all policies, rules, statements, notices and prompts that have been published or may be released in the future (hereinafter referred to as "Rules").
2 INCS shall have the right to formulate and modify this Agreement and relevant rules from time to time as necessary. The amended Agreement and rules shall be notified by means of message push, email, short message, etc., or by way of public display on the official website of INCS seven (7) days in advance, and shall take effect upon completion. If you do not agree to the relevant changes, you shall immediately stop using INCS services; If you continue to use INCS Services, it means that you have accepted the revised agreement and rules.
四、 Service content
（一） INCS Service Content
1. INCS services include Software as a Service (SaaS) platform, INCS official website, and services that integrate some functions/services of INCS into other software and hardware as third-party services. The above are collectively referred to as "INCS Services", and the specific form of service implementation shall prevail.
2. This Agreement shall not apply to the services provided to you by any third party through INCS, such as some third-party applications integrated by INCS.
3. The Services provided by INCS include the current Web version provided by INCS and other versions that may be delayed in the future. Users can choose to install the software version that matches the terminal device. INCS will constantly update the version of the application. If the user has registered to use one version of the Service, he may use other versions of the service with the same account. This Agreement automatically applies to all versions of the software and service used by the user.
4. You agree that INCS may send and display information (including commercial information and noncommercial information) to you by itself or by a third party through message notification, short message, push and other means. The specific form and frequency of sending shall be subject to the actual delivery by INCS.
（二）Form of INCS service
INCS services include digital online customer service and information push service for INCS enterprise organization users.
1、 INCS enterprise Organization Services
(1) INCS enterprise organization service refers to that the administrator creates INCS enterprise organization structure on behalf of INCS enterprise organization users, invites organization members to become INCS end users, and the administrator configures, opens, manages and uses INCS applications. INCS Enterprise Organization Services include but are not limited to the following contents:
a. INCS online standard services, such as creating and managing address books, online customer service responses, and other cross-organizational communication and collaboration services.
b. INCS Workbench service, that is, through INCS workbench, enterprise organization configuration, data viewing, third-party application authorization and other forms of services.
c. INCS open platform services, that is, provide INCS open platform data interface (API), development tools, development documents and sample code, etc., for enterprise organization users to build their own applications as developers, and entrust third-party service providers to customize the development of applications (including micro applications, small programs, collectively referred to as "enterprise self-built applications").
d. INCS paid value-added services refer to the services such as message push, email, SMS, phone call, etc. that are paid and recharged by the enterprise organization and consumed by the end user in the enterprise recharge package.
（2）Enterprise organization users and administrators understand and agree that before administrators manage enterprise organization members, they should explain INCS related services opened based on enterprise management, office operation and information security control requirements to the end users of the enterprise organization, so as to facilitate full understanding of the members.
(3) Enterprise organization users, administrators and end users understand and agree that:
The administrator shall have the right to manage your identity as a member of the enterprise organization and the relevant rights and interests based on the human resource management, office operation and information security control requirements of the enterprise when the end user uses the INCS service for online office work, communication and collaboration. When you comply with this Agreement and the relevant INCS service specifications, you shall use INCS Services in accordance with the content publishing specifications and information security specifications of the enterprise organization, which shall be subject to the actual service.
If the user of the enterprise organization authorizes the use of the third-party application service, the thirdparty application service provider shall bear all the responsibilities. The enterprise organization user shall bear the fees for the paid application services of the third party that may be involved.
The Settings and operations performed by the administrator represent the behaviors of enterprise users. If the enterprise organization users have any objections, please manage and resolve the authorization of the relevant administrator or configure the corresponding permissions, or contact INCS in time to cooperate with the administrator reset. Except as otherwise provided by law, INCS shall not be liable to enterprise organization users for any authorization between enterprise organization users and administrators or for the Settings and operations of administrators.
（三）Entrusting data processing services
1、Enterprises control entrusted data processing
Regarding the opening and use of relevant INCS services by enterprise organization users and administrators, INCS will process the enterprise control data submitted or generated by end users in the process of using INCS related functions/applications, including text, images, video, audio, photos, etc., according to the actions and instructions of the administrator.
2、Entrusted processing of end user personal information
With respect to the personal information of end users involved in the control of data by the enterprise organization, the enterprise organization users and their administrators understand and agree that:
(1) Entrusted processing. The end user's personal information released and transmitted in the course of using the services of the enterprise organization is necessary for the conclusion and performance of the contract with the end user, or necessary for the implementation of human resources management through the labor rules and regulations formulated by law and the labor contract concluded with the end user, and the enterprise organization user has the right to process the personal information of the end user as a personal information processor. And entrusts INCS to process the personal information of end users based on reasonable necessity.
(2) Restrictions on the processing of end User information. INCS will only collect, store, process and transmit enterprise control data for the purpose of handling online customer service problems for the duration of INCS enterprise organization and based on INCS service implementation. Without the consent of the administrator, INCS will not share enterprise control data.
(3) In the use of other third-party application services, enterprise users and their administrators are the processors of end users' personal information, INCS provides platform technical services for enterprise users and third-party service providers, and INCS does not bear joint and several liability for the processing of end users' information by third-party application service providers.
五、INCS software license
1. Authorized use. INCS grants you a non-transferable, non-exclusive license to use INCS Services pursuant to this Agreement. Any copy or backup copy you make of the Product by any means must contain all copyright information contained in the original software
2. Restrictions on Authorized use. Your use of INCS Services under this Agreement is limited to the purpose of handling customer service problems of your enterprise. You undertake not to reproduce, copy, sell, resell or use any part of the Service or use or access to the Service, including but not limited to advertising and for any other commercial purpose.
3. Rights reserved. All other rights not expressly authorized by this section and other provisions of this Agreement shall be reserved by INCS, and you shall obtain INCS 'written permission to exercise such rights. INCS 'failure to exercise any of the foregoing rights shall not constitute a waiver of such rights.
六、Software update
1. In order to improve user experience and service content and form, INCS will make continuous efforts to develop new services and provide users with software updates from time to time, including software replacement, modification, function enhancement, version upgrade and other forms.
2. In order to ensure the security and functional consistency of the Software and services, INCS has the right to update the software without special notice to the user, or to change or restrict some of the functional effects of the software, please download the latest version in time.
3. Users understand and agree that INCS may notify users of software updates through INCS official website or INCS page by means of announcements, update logs, etc. INCS does not need to give special notice to users
七、 INCS Service Usage Specifications
You promise not to use the Service for any illegal or improper activities, including but not limited to the following:
(1) Content publishing specifications
As an INCS user and content producer, you are prohibited from using INCS services to produce, copy and publish illegal information and external links containing the following content:
(1) oppose the fundamental principles set out in the constitutions of Singapore and the territories in which your business is conducted;
(2) endangering national security, leaking state secrets, subverting state power, disrupting national unity, or harming national interests;
(3) advocating terrorism or extremism or inciting the implementation of terrorist or extremist activities;
(4) inciting racial hatred, racial discrimination, gender antagonism or sexism;
(5)Spreading rumors, disrupting economic and social order;
(6) spreading obscenity, pornography, gambling, violence, murder, terror or inciting crimes;
(7) insulting or defaming others, infringing upon the reputation, privacy or other lawful rights and interests of others;
(8) disclosing, buying or selling personal privacy information of unrelated third parties without lawful authorization;
(9) Other contents prohibited by laws and administrative regulations.
（二） Software usage specifications
You promise not to do the following with the Software and services:
1. Upload, post, E-mail or otherwise transmit software viruses or other computer code, files or programs that interfere with, destroy or limit the functionality of any computer software, hardware or communications equipment;
2. Interfere with or disrupt the Service or servers or networks connected to the Service, or violate any requirements, procedures, policies or regulations of networks connected to the Service;
3. By modifying or forging instructions and data in the operation of the software, increasing, deleting or changing the function or operation effect of the software, or operating or disseminating to the public the software or methods to be used for the above purposes, regardless of whether these acts are for commercial purposes;
4.Login or use the software and services through third-party software, plug-ins, plug-ins, systems developed and authorized by non-INCS companies, or make, publish and disseminate the above tools;
5.Interfere with the Software and its components, modules and data by itself, authorizing others or using third-party software
（三）Code of conduct
Unless permitted by law or INCS 'written permission, you may not engage in the following acts in the course of using the Service:
1.Submit or publish false information, or impersonate or use the name of others;
2.Fabricating facts or concealing the truth in order to mislead or deceive others;
3.infringing on others' legitimate rights and interests such as reputation, portrait, intellectual property, trade secrets, etc;
4.Using INCS account or the software and services to engage in any illegal and criminal activities;
5. producing and publishing methods and tools related to the above acts, or operating or disseminating such methods and tools, regardless of whether these acts are for commercial purposes;
6.Engage in acts that violate laws and regulations, infringe on the legitimate rights and interests of other users, interfere with the normal operation of products, or are not expressly authorized by INCS;
（四）Be responsible for their own actions
1. You fully understand and agree that INCS users who use INCS Services shall be responsible for all their actions, including any content posted by users, acts performed by INCS and any consequences arising therefrom.
2. You should make your own judgment on the content of the Service, including the risk of illegal or improper acts or false content that may occur from others, and you should make your own judgment and bear all the risks arising therefrom, including the risk arising from reliance on the accuracy, completeness or usefulness of the content. INCS cannot and will not be liable for any loss or damage caused by the aforementioned risks.
八、INCS Disposal Specifications
1. You agree and accept that INCS has the right to monitor your use of the Services and take appropriate actions in accordance with the law and this Agreement, including but not limited to deleting information, suspending or terminating the services and reporting to regulatory authorities.
2. If you violate laws and regulations, infringe upon the legitimate rights and interests of third parties, violate this Agreement and relevant rules, INCS shall have the right to verify, transfer notice, delete, screen, withdraw account, restrict or terminate the use of part or all of the Services and take other measures in accordance with relevant laws and regulations, and publicize and notify the regulatory authorities.
3. If you use the paid services provided by INCS, INCS shall have the right to suspend/terminate the provision of the relevant services without liability for breach of contract before you correct the violation
4. If the contents posted by you or the actions you engage in lead to third party lawsuits, complaints or claims or cause INCS to be punished and other adverse consequences, you shall assume all responsibilities and make INCS free from damages, and also compensate INCS for the losses caused.
九、Service Fees
1.Any free trial, free features and services of the Service shall not be deemed as a waiver of INCS 'right to subsequent charges. INCS has the right to notify you of the charging standard and method 7 days in advance in the form of announcements on INCS official website or specific INCS service applications. If you continue to use the relevant INCS services, you shall pay the corresponding fees according to the charging standards published by INCS.
2. INCS shall have the right to unilaterally adjust the fee standard and fee method 7 days in advance according to the actual situation, and notify you in the form of announcement without obtaining your prior consent.
3. You shall pay for the Internet access fees, traffic fees and other communication fees and information fees charged by third parties that may arise from the use of the Service.
十、 Third-party services
1. INCS allows you to access third-party applications within the Service through authorization to facilitate your work needs. You have been aware that the relevant third-party applications may incur additional costs, and agree to bear and pay the relevant costs.
2. You understand and agree that, except as expressly provided by law (such as our adjustments to INCS services and third-party services have an impact on third-party application services), INCS shall not be liable for third-party services.
3. When you use a third-party application or service, INCS may call a third-party system or support your use or access through a third party, and the results of use or access will be provided by the third party.
4. You understand and agree that when you use the third-party applications and services in INCS Services, in addition to the provisions hereof, you shall also comply with the third-party user Agreement; In order to realize the third-party applications and services, the enterprise service administrator chooses to open the third-party services based on the authorization of the enterprise organization. Before choosing to use the third-party services, you should fully understand the product functions, service agreements and privacy protection policies of the third-party services, and then choose whether to activate the functions and comply with the third-party user agreement.
十一、 Suspension or termination of services
1. In view of the particularity of Internet services, INCS has the right to change the service content, and may suspend or terminate all or part of the service (including free service or paid service), and notify you in the form of publicity on the official website of INCS, announcement through foreign official channels, etc.
2. You understand and agree that INCS may periodically or irregularly maintain or overhaul the platform equipment, facilities, software and hardware used to provide network services, and INCS shall not be liable for the suspension of the paid services within a reasonable time due to such circumstances upon prior notice.
3. INCS shall have the right to immediately suspend or terminate the services to you and ask you to compensate for the losses under any of the following circumstances:
(1) The User violates Article 7 of this Agreement;
(2) The User fails to pay the corresponding service fee as required;
(3) The User violates the obligations stipulated in Article 8 of the INCS Service Usage Specification of this Agreement.
十二、Privacy Policy
1. INCS strives to take all reasonable physical, electronic and administrative security measures to protect your information, so that your information and communications stored in INCS will not be disclosed, damaged or lost. We also take strict management of employees or contractors who may come into contact with the information. INCS will provide appropriate security measures according to existing technology to protect your information and provide reasonable security guarantee. INCS will do its best to prevent your information from being leaked, damaged or lost at any time. However, please note that there is no absolute perfect security measure on the information network.
2. You shall take good care of the equipment, account number and password used by INCS, and properly keep the relevant information and content. You shall be solely responsible for the loss or theft of data caused by your own reasons and the failure to delete or store relevant data in the Software and Services.
3. Please refer to INCS Privacy Policy for specific 《INCS privacy policy》.
十三、Intellectual Property rights
1. You fully understand and agree that, unless otherwise stated by INCS, All intellectual property rights (including but not limited to Copyrights, trademark rights, patents, trade secrets, etc.) and related rights of all products, technologies, software, programs, data and other information (including but not limited to text, images, pictures, photos, audio, video, graphics, colors, layout design, electronic documents) contained in the Services hereunder shall belong to INCS or its affiliates The property of INCS Inc.
2. You warrant that, unless authorized in writing by INCS, you shall not (and shall not allow any third party to) use the above rights, including but not limited to renting, lending, selling, copying, modifying, reproducing, compiling, publishing, reverse assembling, reverse compiling or otherwise discover the source code.
3.INCS Logo, "INCS", other words, graphics and their combinations, as well as INCS other logos, names, etc. are owned by INCS and its affiliates. Without INCS 'written authorization, no one shall display, use or otherwise process in any way (including but not limited to copying, disseminating, displaying, uploading, downloading), nor shall any person indicate to others that you have the right to display, use or otherwise process.
4.The intellectual property rights of all INCS products, services, technologies, programs and their components/names (hereinafter referred to as "Technical Services") are owned by INCS or owned by their right holders.
5. You understand and agree to authorize INCS to use your name, trademark and logo in publicity and promotion, but only to indicate that you belong to our customers or partners.
十四、Limited liability
1. Services will be provided on an "As is" and "Available" basis. INCS does not undertake or guarantee the effectiveness, accuracy, reliability, stability, completeness and timeliness of the technology and information involved in the Service.
2. INCS shall not, under any circumstances, be responsible for any network connection failure, equipment failure, communication system failure, power failure, hacking or cyber attack, strike, riot riots, fire, natural disaster, war, government action, etc. International or national court orders or third party omissions, such as failure of service or delay of service, data loss, system failure, etc., shall be liable.
3. INCS shall not be liable for indirect damages (including but not limited to loss of profits or interest, suspension of business), whether foreseeable or not, regardless of the form of the act.
4. You fully understand and agree that due to the special nature of the Internet, the information and personal data you share in the Service may be copied, reproduced or used for other purposes by others; You are fully aware of the existence of such risks, and confirm that these risks should be entirely borne by you, INCS does not bear any responsibility for this.
十五、Liability and compensation for breach of contract
1. If we find or receive reports from others that you have violated the provisions of this Agreement, INCS shall have the right to delete or screen the relevant content at any time without notice, and take measures including but not limited to restricting, suspending or terminating your use of INCS account and services, restricting, suspending or terminating your use of part or all of the Services, and investigating for legal liabilities.
2. You agree that INCS and its affiliates suffer any loss arising from or resulting from any claim or request made by any third party against INCS and its affiliates as a result of any information uploaded, transmitted or shared by you through the Service, use of other features of the Service, breach of this Agreement, or infringement of any rights of others by you. You agree to indemnify INCS in full (including, but not limited to, reasonable attorney's fees).
十六、 Effective notice
1. Any notice sent to you by INCS may be sent by E-mail, page announcement, personal reminder, mobile phone short message or mail, etc., and such notice shall be deemed to have been delivered to the user or become effective within 7 days from the date of delivery.
2. You agree that any notice you send to INCS shall be sent to the online or offline contact information, correspondence address, email, and other contact information that INCS has officially published or informed Users in the manner described in Article 19, or be served by other notification methods recognized by INCS.
十七、Dispute Resolution and others
1. The interpretation and application of this Agreement, as well as disputes in connection with this Agreement, shall be governed by the laws and regulations of Singapore, excluding the application of any conflict of laws, and shall be governed by the competent court of the place where this Agreement is signed.
2.If any provision of this Agreement is held to be invalid or unenforceable, the remaining parts shall remain in force and effect
3. When INCS waives the rights under this Agreement in the event of User's fault or breach, it shall not be deemed to have waived its rights in respect of any other or similar fault or breach of this Agreement in the future.
4.This Agreement shall supersede all prior oral and written agreements, arrangements, understandings and communications between the Parties with respect to any matter hereof.
5.You understand and agree that INCS shall have the right to independently determine its business strategy and transfer all rights and obligations hereunder to its affiliates in accordance with the business adjustment situation, and the transfer shall be notified in the manner stipulated herein.
